Please read these terms carefully before using EdEarn. By using our platform, you agree to be bound by these terms and conditions.

1. Acceptance of Terms

By accessing or using EdEarn ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform. These Terms apply to all users of the Platform, including but not limited to: • Students who access courses and learning materials • Tutors and Experts who create and deliver content • Companies that post jobs and verify employees • Startups that manage team learning • Administrators and employees who operate the Platform We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last Updated" date.

2. User Accounts & Registration

2.1 Account Creation To access certain features of the Platform, you must register for an account. You agree to: • Provide accurate, current, and complete information during registration • Maintain and promptly update your account information • Keep your password confidential and not share it with others • Notify us immediately of any unauthorized access to your account • Be responsible for all activities that occur under your account 2.2 Account Types (8 Portals) EdEarn offers different account types with varying permissions: • Student: Full access to courses, social features, and job applications • Tutor: Course creation, live sessions, and earnings management • Expert: Mentorship, course creation, and community participation • Startup: Team management and B2B course purchasing • Company: Job posting, employee verification, and hiring analytics • Employee: Internal staff with department-scoped access • Admin: Platform moderation and approval workflows • Controller: System configuration and workflow automation 2.3 Age Requirements You must be at least 13 years old to use the Platform. Users under 18 require parental consent. Certain features may require you to be 18 or older.

3. Content & Intellectual Property

3.1 User-Generated Content You retain ownership of content you create and upload to the Platform ("User Content"). By submitting User Content, you grant EdEarn a worldwide, non-exclusive, royalty-free license to: • Use, reproduce, modify, and distribute your content • Display your content publicly on the Platform • Create derivative works for promotional purposes 3.2 Course Content Tutors and Experts who create courses agree that: • They own or have rights to all content they upload • EdEarn may display course previews and promotional materials • Revenue sharing is governed by the Tutor Agreement • Content must not infringe on third-party intellectual property 3.3 Prohibited Content You may not upload or share content that: • Infringes on copyrights, trademarks, or other intellectual property • Contains malware, viruses, or harmful code • Is defamatory, obscene, or promotes illegal activities • Violates the privacy of others • Constitutes spam or unauthorized advertising 3.4 EdEarn Intellectual Property The Platform, including its design, features, and branding, is owned by EdEarn. You may not: • Copy, modify, or distribute Platform code or design • Use EdEarn trademarks without permission • Reverse engineer any part of the Platform

4. User Conduct & Responsibilities

4.1 Acceptable Use You agree to use the Platform in a manner consistent with all applicable laws and regulations. You will not: • Harass, threaten, or intimidate other users • Impersonate any person or entity • Interfere with the Platform's operation or security • Attempt to gain unauthorized access to accounts or systems • Use bots, scrapers, or automated tools without permission • Engage in fraudulent activities or misrepresent your identity 4.2 Live Sessions When participating in live sessions, you agree to: • Maintain professional and respectful behavior • Not record sessions without consent • Not share session links with unauthorized users • Follow instructor guidelines and Platform rules 4.3 Community Guidelines Our community is built on respect and collaboration. Violations may result in: • Content removal • Account suspension • Permanent ban from the Platform • Legal action in severe cases

5. Payments & Subscriptions

5.1 Payment Terms EdEarn uses Stripe and Razorpay for payment processing. By making a purchase, you agree to: • Provide accurate payment information • Pay all applicable fees, including taxes • Accept our refund policy as outlined below 5.2 Subscription Plans • Subscriptions auto-renew unless cancelled before the billing date • You may cancel your subscription at any time through your account settings • Partial refunds are not provided for unused subscription periods • Price changes will be communicated 30 days in advance 5.3 Course Purchases • One-time course purchases provide lifetime access • Courses may be updated or removed at the instructor's discretion • Refunds are available within 30 days if less than 30% of the course is completed 5.4 Tutor/Expert Earnings • Tutors receive payouts according to the revenue sharing agreement • Payouts are processed monthly for earnings above the minimum threshold • EdEarn retains a platform fee as specified in the Tutor Agreement • Tax documentation is the responsibility of the tutor 5.5 Wallet System • Wallet funds can be used for course purchases and subscriptions • Wallet funds are non-refundable and non-transferable • Promotional credits may have expiration dates

6. Disclaimers & Liability

6.1 Platform Availability EdEarn strives for 99.9% uptime but does not guarantee uninterrupted service. We are not liable for: • Service interruptions or downtime • Data loss due to technical failures • Third-party service outages 6.2 Content Accuracy While we strive for quality, EdEarn does not guarantee: • The accuracy of course content • Specific learning outcomes or career results • The qualifications of tutors or experts 6.3 Limitation of Liability To the maximum extent permitted by law, EdEarn shall not be liable for: • Indirect, incidental, or consequential damages • Loss of profits, data, or business opportunities • Damages exceeding the amount you paid to EdEarn in the past 12 months 6.4 Indemnification You agree to indemnify and hold harmless EdEarn, its officers, directors, and employees from any claims arising from: • Your use of the Platform • Your violation of these Terms • Your infringement of third-party rights

7. Privacy & Data Protection

7.1 Data Collection EdEarn collects and processes personal data as described in our Privacy Policy. This includes: • Account information (name, email, profile) • Usage data and learning progress • Payment and transaction information • Communications and support interactions 7.2 Data Security We implement industry-standard security measures including: • SSL/TLS encryption for data in transit • Encrypted storage for sensitive data • Regular security audits and penetration testing • Access controls and authentication 7.3 Third-Party Sharing We may share data with: • Payment processors (Stripe, Razorpay) • Analytics providers • CRM integration partners (with your consent) • Law enforcement when legally required 7.4 GDPR Compliance For users in the European Union, we comply with GDPR requirements including: • Right to access your data • Right to rectification • Right to erasure ("right to be forgotten") • Right to data portability • Right to object to processing

8. Termination

8.1 Termination by You You may close your account at any time by: • Contacting support at support@edearn.com • Using the account deletion feature in settings • Note: Course access and earnings may be forfeited upon termination 8.2 Termination by EdEarn We may suspend or terminate your account if: • You violate these Terms or community guidelines • You engage in fraudulent or illegal activities • Your account shows prolonged inactivity • We cease operations (with appropriate notice) 8.3 Effect of Termination Upon termination: • Your access to the Platform will be revoked • Your content may be deleted (with reasonable notice for data export) • Outstanding payments or earnings will be processed per our policies • Certain provisions of these Terms survive termination

9. Disputes & Governing Law

9.1 Dispute Resolution Any disputes arising from these Terms or your use of the Platform shall be: • First addressed through informal negotiation • Then through binding arbitration if negotiation fails • Arbitration shall be conducted in accordance with AAA rules 9.2 Class Action Waiver You agree to resolve disputes individually and waive any right to participate in class action lawsuits or class-wide arbitration. 9.3 Governing Law These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles. 9.4 Jurisdiction Any legal proceedings shall be conducted in the state or federal courts located in San Francisco, California.
